Terms of Service

1. The Service

SiteProof is a workflow tool for construction subcontractors to record completed work, organize that record into shareable Work Reports, and route those reports to a General Contractor or Builder for confirmation. SiteProof is a record-keeping and communication tool. We do not act as an escrow agent, lien professional, or legal representative; we do not guarantee any particular billing outcome.

2. Your Account

You must be at least 16 years old and able to enter a binding contract to use SiteProof. You are responsible for the accuracy of the information you provide and for keeping your sign-in credentials confidential. Notify us promptly if you suspect unauthorized access.

You can delete your account at any time from Account → Delete Account, or by emailing us. Deleting your account terminates these Terms with respect to you, but does not retroactively remove submissions that became part of another company’s project history.

3. Your Content

You retain all rights to photos, notes, drawings, and other content you upload (“User Content”). By using the Service, you grant SiteProof a worldwide, non-exclusive, royalty-free license to host, store, transmit, and display your User Content solely for the purpose of operating and improving the Service.

You represent that you have the right to upload User Content and that it does not violate any third party’s rights or applicable law.

4. Acceptable Use

You agree not to:

• Misrepresent who you are or impersonate another person or company.
• Submit content you know to be false, fraudulent, or misleading.
• Upload malware, attempt to interfere with the Service, or probe for vulnerabilities.
• Use the Service to harass, threaten, or harm any person.
• Reverse-engineer, copy, or commercially redistribute the SiteProof software, except as expressly permitted.
• Use the Service in violation of applicable law.

5. Intellectual Property

The Service — including the software, logo, copy, and design — is owned by Fieldwise Technologies Inc. and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-transferable license to use the Service in accordance with these Terms.

6. Service Availability

We work to keep SiteProof available, but the Service is provided “as is” without warranty of any kind. We may modify, suspend, or discontinue features at any time. Scheduled maintenance and unplanned outages may occur.

7. Limitation of Liability

To the fullest extent permitted by law, Fieldwise Technologies Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service.

Our aggregate liability for any claim arising from these Terms will not exceed the greater of (a) CAD $100 or (b) the amount you paid SiteProof in the 12 months preceding the claim. Some jurisdictions do not allow these limits; in those cases, the minimum applicable limit applies.

8. Indemnification

You agree to indemnify and hold Fieldwise Technologies Inc. harmless from claims arising out of (a) your User Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of the rights of any third party.

9. Termination

We may suspend or terminate your access to the Service if you breach these Terms or use the Service in a way that harms us or other users. You can terminate at any time by deleting your account. Sections that should survive termination (intellectual property, limitation of liability, indemnification, governing law) do.

10. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date. For material changes, we will notify you via email or in-app notice. Your continued use of the Service after the effective date is acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. The courts of Province of Ontario, Canada have exclusive jurisdiction over disputes, subject to mandatory consumer-protection rights of your home jurisdiction.
